Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ERP One platform and website at erp-us.com (the "Service"), operated by ERP One, Inc. ("ERP One", "we", "us"). By creating an account or using the Service, you agree to these Terms.

1. The Service

ERP One provides a cloud-based enterprise resource planning platform and related features. We may update, add, or remove functionality over time. We aim for high availability but do not guarantee the Service will be uninterrupted or error-free.

2. Accounts

You are responsible for your account, for keeping your credentials secure, and for all activity under your account. You must provide accurate information and be authorized to bind your organization.

3. Subscriptions & billing

• The Service is billed on a per-seat subscription basis at the plan and price you select.
• Payments are processed by our payment provider, Stripe. By subscribing you also agree to Stripe's terms.
• Subscriptions renew automatically for the same period unless cancelled before renewal. Fees are non-refundable except where required by law.
• We may change pricing with reasonable notice; changes take effect at your next renewal.

4. Acceptable use

You agree not to misuse the Service, including: violating laws, infringing others' rights, attempting to breach security, reverse-engineering the Service, or using it to store or transmit unlawful content.

5. Your data

You retain ownership of the data you submit. You grant us a limited licence to process it solely to provide and improve the Service, as described in our Privacy Policy.

6. Intellectual property

The Service, including its software, design, and content, is owned by ERP One and its licensors and is protected by law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service.

7. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law.

8. Limitation of liability

To the maximum extent permitted by law, ERP One will not be liable for indirect, incidental, or consequential damages, and our total liability is limited to the amounts you paid us in the twelve months before the claim.

9. Termination

You may cancel at any time. We may suspend or terminate access if you breach these Terms. Upon termination, your right to use the Service ends; certain provisions survive.

10. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules.
